These Terms & Conditions govern your use of the website and services provided by CoreAxis Growth LLC ("CoreAxis", "we", "us", or "our").
CoreAxis operates the website and delivers software engineering, custom business systems, AI and automation integrations, and digital growth services under the CoreAxis brand. By accessing our website or engaging us for services, you agree to these Terms.
1. Acceptance of These Terms
By browsing, visiting, or accessing the CoreAxis website, or by submitting an inquiry and entering into an engagement for services with CoreAxis, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions.
When you engage CoreAxis for a project or ongoing service, your engagement will also be governed by a separate written proposal, statement of work (SOW), service order, or project agreement ("Project Agreement"). Where there is any direct conflict between these general Terms & Conditions and the specific terms of a signed Project Agreement, the Project Agreement shall govern with respect to that specific project matter to the extent stated therein.
Simply browsing our website or submitting an exploratory project inquiry does not create an attorney-client, agency, partnership, or paid client relationship between you and CoreAxis.
2. Our Services
CoreAxis provides strategic technology and digital growth services tailored to business clients. Our general service categories include:

Engagement-Specific Scope
- The exact services, deliverables, technical scope, milestones, delivery timeline, and fees for any client engagement are determined exclusively by the applicable Project Agreement.
- Listing a capability or technology on our website does not imply or guarantee that every service is included in every client engagement.
3. Project Scope and Deliverables
Each project undertaken by CoreAxis is governed by an agreed scope of work defining the specific technical specifications, architectural boundaries, and expected deliverables.
Work requested outside the agreed scope may be treated as additional work and may require a separate quote, additional fee, timeline adjustment, or written change approval before that work begins.
For example, if a client requests an additional module, custom feature, supplementary third-party integration, or revised workflow that was not included in the original project specifications, CoreAxis will evaluate the request separately and provide an estimate before initiating development.
Client requests, feature suggestions, or feedback do not automatically become part of the existing project scope. Additional work requires explicit agreement between CoreAxis and the client regarding what is being added, the additional cost, the timeline impact, and any other relevant conditions prior to implementation.
4. Fees and Payments
CoreAxis delivers services under structured commercial arrangements outlined in each Project Agreement. Depending on the engagement structure, projects may require:
- An upfront deposit or initial phase payment prior to the commencement of work
- Milestone-based payments tied to the completion of designated project phases or deliverables
- A final payment balance prior to project completion, public launch, or source code handover
- Recurring retainer or monthly payments for ongoing engineering, growth, or maintenance services
Payment Schedules & Overdue Accounts
- The exact payment schedule, milestone criteria, and payment methods are specified in the applicable Project Agreement. Invoices and milestone payments are due according to the schedule agreed upon.
- If a scheduled payment becomes overdue, CoreAxis may, at its reasonable discretion depending on the circumstances: pause ongoing development, delay scheduled delivery dates, temporarily restrict access to staging environments or interim deliverables, adjust the overall project timeline, or terminate the engagement pursuant to the Project Agreement.
- CoreAxis exercises reasonable business judgment when working with clients regarding timing adjustments, but work will not proceed indefinitely on delinquent accounts.
5. Client Responsibilities
Successful project delivery depends on close collaboration and timely inputs from the client. To enable CoreAxis to fulfill its obligations, the client agrees to provide required materials and cooperation in a timely manner.
- Accurate brand assets, logos, design guidelines, copy, product data, and visual materials
- Administrative access, credentials, API keys, and permissions for necessary third-party platforms, domains, or hosting accounts
- Required technical documentation, database schemas, or legacy codebases where applicable
- Timely review, testing, feedback, decisions, and written milestone approvals
- Designation of an authorized primary contact with authority to approve scope, design, and commercial decisions
Rights & Non-Infringement
- The client represents and warrants that it owns or holds all necessary licenses, permissions, and rights for all content, data, trademarks, and assets provided to CoreAxis.
- The client is solely responsible for ensuring that materials supplied to CoreAxis do not violate any applicable law or unlawfully infringe the copyright, trademark, trade secret, or privacy rights of any third party.
6. Client-Caused Delays
Project schedules and delivery estimates provided by CoreAxis assume timely client participation. If CoreAxis is waiting for required materials, credentials, feedback, content approvals, or milestone sign-offs, the delivery timeline may be adjusted accordingly.
CoreAxis does not guarantee that original deadlines will remain unchanged when client delays occur. When a delay significantly impacts scheduling, CoreAxis may adjust project milestones based on team capacity and current project commitments.
7. Intellectual Property
Intellectual property rights are strictly and clearly apportioned across three distinct categories:
A. Client-Specific Deliverables
- Custom software code, bespoke user interfaces, proprietary business logic, client-specific database schemas, and tailored documentation created specifically for the client’s project ("Client Deliverables") transfer to the client after the client has paid all amounts due for that work in full, subject to the terms of the Project Agreement.
- Until full payment of all applicable invoices and milestone fees has been received, CoreAxis retains all rights, title, and ownership in and to all deliverables and work in progress.
B. CoreAxis Pre-Existing & Reusable Technology
- CoreAxis retains sole ownership of all pre-existing technology, proprietary frameworks, internal boilerplate, reusable modules, developer utilities, algorithms, design systems, workflows, and generic know-how that existed prior to the project or were developed independently ("CoreAxis Technology").
- CoreAxis grants the client a non-exclusive, perpetual, worldwide license to use such CoreAxis Technology solely as integrated into and necessary for the operation of the delivered project. The client does not acquire ownership of underlying CoreAxis reusable frameworks or tools, and CoreAxis remains free to reuse general-purpose technology across other projects.
C. Third-Party & Open-Source Technology
- Modern software applications routinely incorporate third-party services, APIs, and open-source packages (such as React, Next.js, Flutter, Firebase, Supabase, Tailwind CSS, Twilio, or payment SDKs).
- CoreAxis cannot transfer ownership of technology it does not own. Third-party software and open-source components remain the property of their respective owners and are governed exclusively by their applicable third-party licenses (e.g., MIT, Apache, BSD, or commercial SaaS terms).
8. Third-Party Services and Integrations
CoreAxis applications often connect to external services operated by independent providers. Examples include payment gateways (such as Stripe), cloud backends (such as Supabase or Firebase), communications APIs (such as Twilio or Resend), and app distribution stores (Apple App Store and Google Play Store).
These services are owned and operated by independent third parties. CoreAxis does not control and cannot be held responsible for:
- The operational availability, uptime, latency, or server failures of third-party platforms
- Changes in third-party pricing, usage tiers, or billing policies
- Deprecations, sudden modifications, or breaking changes to third-party APIs or SDKs
- Account suspensions, rejections, or policy decisions made by third-party platforms or app stores
- The privacy practices, terms of service, or security standards of third-party vendors
Integration Maintenance
- CoreAxis exercises professional diligence when implementing third-party integrations according to the agreed project scope. If a third-party provider alters their API, changes their policies, or discontinues a service after implementation, subsequent adjustments required to maintain compatibility are outside the original scope and may require separate quoting.
9. Confidentiality
During the course of discussions or project execution, either party may disclose proprietary or non-public business, financial, or technical information ("Confidential Information").
CoreAxis agrees to handle all confidential client information with reasonable care and will not disclose it to third parties, except as strictly necessary to deliver the requested services, as authorized by the client, or as required by subpoena, court order, or applicable law.
If the parties enter into a separate Non-Disclosure Agreement (NDA), the specific confidentiality terms of that NDA shall supersede and govern any conflicting confidentiality provisions herein.
10. Post-Launch Bug-Fix Period
To ensure software stability and client confidence, CoreAxis includes a limited complimentary post-launch bug-fix period for custom development projects.
Unless a different period is specified in the Project Agreement, the standard bug-fix period lasts for sixty (60) days following the date of delivery, project handover, or public launch.
During this 60-day window, CoreAxis will correct reproducible defects arising from CoreAxis’s implementation where the delivered functionality does not operate substantially in accordance with the agreed project scope.
Included in the Bug-Fix Period
- Reproducible software bugs in code authored by CoreAxis
- Corrections to features that fail to function according to the agreed scope of work
- Critical styling or interface defects identified under supported target browsers or devices
Excluded from the Bug-Fix Period
- New features, modifications, or functionality not included in the original agreed scope
- Third-party API updates, external service outages, or breaking third-party changes
- Operating system, device, or browser updates released after delivery
- Issues arising from code, plugins, or configurations altered by the client or third parties
- Design revisions requested after formal milestone approval
- General ongoing maintenance, user support, or content updates
Clarification
- The 60-day bug-fix period is strictly a warranty on implemented functionality, not unlimited free maintenance or ongoing feature development.
11. Ongoing Maintenance and Support
Following the conclusion of the 60-day bug-fix period (or for needs outside warranty scope), ongoing engineering, infrastructure updates, and operational support are provided through separate maintenance agreements or on-demand quotes.
Ongoing support services may encompass: regular security patches, framework and dependency updates, third-party API monitoring, database performance tuning, server and cloud infrastructure management, feature enhancements, and dedicated technical advisory.
Such ongoing services are billed separately pursuant to an applicable retainer, support package, or hourly rate agreed upon in writing.
12. Growth Services
CoreAxis provides growth strategy, marketing campaign development, and brand advisory services on a project or recurring monthly basis as designated in the applicable Project Agreement.
While CoreAxis applies industry best practices, strategic analysis, and technical expertise to maximize campaign effectiveness, business outcomes depend on multiple external factors beyond our control—including market demand, economic conditions, client sales execution, competitor behavior, and third-party advertising platform algorithms.
Accordingly, CoreAxis makes no representations, warranties, or guarantees regarding specific revenue figures, sales volumes, conversion rates, follower numbers, or business profitability.
13. Portfolio and Marketing Use
CoreAxis takes pride in the engineering, software systems, and growth results we build for our clients. Because demonstrating real-world capabilities is vital for agency operations, we establish clear contractual rules balancing portfolio publicity with strict client confidentiality.
These Terms & Conditions provide our general default framework for portfolio and marketing use. Project-specific publicity selections are governed by the applicable Project Agreement or Statement of Work (SOW), and confidentiality obligations are governed by any applicable Non-Disclosure Agreement (NDA). If a signed Project Agreement, SOW, or NDA contains a more restrictive publicity or confidentiality provision, that provision controls for that project. Subject to that governing hierarchy, portfolio and marketing rights are apportioned as follows:
A. Standard Engagements (Default Attribution)
- For standard engagements where public attribution is permitted, the client grants CoreAxis a non-exclusive license to identify the client by name and logo on the CoreAxis website, marketing decks, case studies, proposals, and social channels following delivery or public launch.
- CoreAxis may display publicly available materials, live website URLs, app store listings, and non-confidential screenshots, interface mockups, or video demonstrations of completed features.
B. Confidential & Restricted Projects (Anonymized Showcasing)
- Where an engagement is subject to an NDA, confidentiality obligations, or an express client request not to be publicly identified, CoreAxis will not publish the client's name, trademarks, logos, or identifying corporate details.
- In such cases, CoreAxis may showcase generalized technical capabilities, engineering challenges, and architectural patterns developed, to the extent permitted by the applicable NDA, confidentiality obligations, and Project Agreement, provided that the showcase is strictly anonymized and desensitized.
- Anonymized showcasing may include: referencing the client by generic industry descriptions (e.g., "a multi-location healthcare provider" or "a B2B logistics SaaS platform"), utilizing synthetic or fictional demo data, recreating stylized wireframes or modified UI mockups that do not display proprietary brand identities, and summarizing generalized engineering methodologies.
- Crucially, stripping names or logos does not alone satisfy confidentiality: CoreAxis will never disclose unique proprietary business logic, patented processes, unreleased product concepts, trade secrets, or niche workflows that would enable a competitor to reverse-engineer or identify the client’s proprietary systems.
C. CoreAxis Reusable Technology & Generalized Know-How
- Consistent with Section 7.B, demonstrating CoreAxis Pre-Existing and Reusable Technology (such as our internal UI component libraries, generic backend boilerplates, standard authentication flows, or universal workflow engines) does not constitute a disclosure of Client Deliverables or Confidential Information, regardless of project confidentiality settings.
D. Express Total Embargo (Strict Opt-Out)
- If a client requires total discretion with no public mention or anonymized case study whatsoever (e.g., stealth-mode startups, classified projects, or white-label subcontractor arrangements), the client may specify a "Total Portfolio Embargo" or "Strict No-Publicity" clause in the Project Agreement, SOW, or NDA.
- Upon execution of an express embargo, that restriction controls, and CoreAxis will completely refrain from referencing the project in any public or external marketing context, whether branded or anonymized.
E. Absolute Safeguards on Confidential Data
- Under no circumstances will CoreAxis disclose proprietary financial numbers, revenue figures, internal performance metrics, customer databases, personal user information, server credentials, or confidential source code in any portfolio, case study, or marketing material.
14. Website Content and Intellectual Property
The CoreAxis website itself—including its visual design, typography, layout, text, graphics, interactive animations, logos, brand emblems, and underlying software code—is the property of CoreAxis Growth LLC or used under applicable licenses.
You may browse, view, and print pages from our website for your personal or internal business evaluation purposes. You may not reproduce, redistribute, modify, mirror, or commercially exploit website content without the prior written consent of CoreAxis, except where permitted by applicable law.
CoreAxis does not claim ownership of third-party trademarks, company names, or logos displayed on our website, which remain the property of their respective owners.
15. Refunds and Cancellations
All matters regarding refunds, cancellations, and project terminations are governed by our separate Refund & Return Policy and the applicable Project Agreement.
Because custom software engineering and digital growth involve dedicated resource allocation, completed work and approved milestones are generally non-refundable once performed. Please review our Refund & Return Policy for detailed information regarding deposits, milestone cancellations, and dispute procedures.
16. Termination
Either party may terminate an ongoing service relationship or project engagement in accordance with the termination clauses contained in the applicable Project Agreement.
Upon termination of an engagement for any reason:
- Work already completed and hours or milestones performed up to the effective termination date remain payable by the client
- Amounts already paid for completed work, delivered code, or expended labor are non-refundable, subject to the Refund & Return Policy and Project Agreement
- Delivery, licensing, or handover of project assets and source code is strictly conditioned upon full receipt of all outstanding balances
- Provisions intended by their nature to survive termination—including intellectual property allocations, confidentiality, limitation of liability, and governing law—shall remain in full force and effect
17. Disclaimers and Warranties
CoreAxis commits to delivering services with professional competence, diligence, and in substantial accordance with the specifications defined in each applicable Project Agreement.
Except for the express warranties set forth in these Terms or in a written Project Agreement, CoreAxis provides its website and services on an "as available" basis without warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
CoreAxis does not warrant that the website or any software deliverable will operate entirely uninterrupted or bug-free under every conceivable scenario, or that third-party services will remain continuously operational without third-party vendor downtime.
18. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall CoreAxis Growth LLC, its officers, directors, employees, contractors, or agents be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including damages for loss of profits, revenue, data, goodwill, or business interruption, arising out of or in connection with the use of our website or services.
Except where a specific liability cap is expressly established in a signed Project Agreement, CoreAxis’s total aggregate liability arising out of or related to any engagement shall be limited to the amounts actually paid by the client to CoreAxis under the applicable Project Agreement for the specific services giving rise to the claim during the three (3) months preceding the event giving rise to liability.
Nothing in these Terms shall limit or exclude liability that cannot be legally excluded or limited under applicable law, including liability for gross negligence, willful misconduct, or intentional fraud.
19. Governing Law
These Terms & Conditions, and any claims or disputes arising out of or related to your use of the website or engagement with CoreAxis, shall be governed by and construed in accordance with the laws of the State of Texas, United States, without giving effect to any principles of conflicts of law.
20. Dispute Resolution
In the event of any controversy, claim, or dispute arising out of or relating to these Terms or a project engagement, the parties agree to first attempt to resolve the matter amicably through prompt, good-faith negotiations between executive representatives of both parties.
If the parties are unable to resolve the dispute through direct good-faith discussions within thirty (30) days of written notice, either party may pursue available legal remedies in accordance with the governing law specified herein.
21. Changes to These Terms
CoreAxis reserves the right to modify, amend, or update these Terms & Conditions from time to time to reflect evolving business practices, service offerings, or legal requirements. When revisions occur, we will update the "Last updated" date at the top of this page.
Your continued use of our website after updated Terms have been posted constitutes your acceptance of the revised Terms where legally applicable. For existing clients with an active Project Agreement, previously agreed project terms shall continue to govern that specific project engagement unless amended by written mutual agreement.
